Terms of Use

1.Agreement to Terms

These Terms of Use (the “Terms”) govern your access to and use of axiomic.ai and any subdomain or successor site operated by Axiomic, LLC, a California limited liability company (“Axiomic,” “we,” “us,” or “our”) (collectively, the “Site”). By accessing or using the Site in any manner, you (“you” or “your”) agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Site.

2.What This Site Is — and Isn’t

The Site is a static, informational landing page. It exists solely to describe Axiomic, LLC and to list the companies, products, and publications in our portfolio. It is, in essence, a business card on the internet.

The Site is not a product or service. It does not offer, sell, or deliver goods or services of any kind. It has no user accounts, no login, no forms, no payments, no content submissions, no messaging, no subscriptions, no uploads, and no downloads other than the HTML, CSS, and fonts that render the page in your browser. Nothing on the Site constitutes legal, financial, medical, professional, investment, or any other form of advice, and nothing on the Site shall be construed as an offer or solicitation to buy, sell, subscribe to, or invest in any security, product, or service.

3.Portfolio Links and Third Parties

The Site links outward to third-party websites, products, and publications (each a “Portfolio Property”). Each Portfolio Property is operated by a separate legal entity under its own terms, privacy policy, and business practices. Axiomic’s holding of an ownership or editorial interest in a Portfolio Property does not mean Axiomic controls, endorses, guarantees, or is responsible for the content, availability, security, or practices of that Portfolio Property. Your use of any Portfolio Property is strictly between you and the operator of that property, and Axiomic disclaims all liability arising out of or related to your use of any Portfolio Property.

4.Intellectual Property

All content on the Site — including text, design, layout, typography, selection and arrangement, graphics, logos, source code, and markup — is the property of Axiomic, LLC or its licensors and is protected by United States and international copyright, trademark, trade dress, and other intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to view the Site in the ordinary course of browsing. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, scrape, mirror, frame, or commercially exploit any portion of the Site without our prior written permission, except that public-interest search engines may crawl and index publicly accessible pages for legitimate indexing purposes in accordance with our robots.txt.

“Axiomic” and the Axiomic wordmark are trademarks of Axiomic, LLC. All other product, service, and company names referenced on the Site are the trademarks of their respective owners and are used for identification purposes only.

5.Acceptable Use

You agree that you will not, and will not permit any third party on your behalf to:

  • use the Site in any manner that violates any applicable law, regulation, sanctions regime, or export-control law;
  • interfere with or disrupt the Site, its servers, or any networks connected to the Site;
  • access the Site through automated means (including bots, scrapers, crawlers, or headless browsers) in a manner that imposes an unreasonable load, circumvents rate limits, or evades access controls;
  • attempt to gain unauthorized access to any portion of the Site, its hosting environment, or any underlying systems or data;
  • probe, scan, or test the vulnerability of the Site or breach any security or authentication measures;
  • use any portion of the Site, including its text, design, or source code, to train, fine-tune, evaluate, or develop any machine-learning model, artificial intelligence system, or dataset without our prior written consent; or
  • use the Site in any manner that could damage, disable, overburden, or impair it, or that could interfere with any other party’s use of the Site.

6.Artificial Intelligence

The Site itself is not an “AI system” as defined in Article 3(1) of Regulation (EU) 2024/1689 (the “EU AI Act”). The Site does not deploy, provide, make available, or embed any AI system for automated decision-making, content generation, classification, scoring, profiling, biometric identification, or any other AI-driven functionality directed at visitors. The Site serves static HTML, CSS, and typography assets and nothing more.

Certain Portfolio Properties are independent companies that develop, operate, or integrate AI systems. Axiomic is not a provider, deployer, importer, distributor, or authorised representative within the meaning of the EU AI Act with respect to any such Portfolio Property by virtue of linking to it. You should consult each Portfolio Property’s own disclosures for information about any AI systems it operates.

7.Warranty Disclaimer

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by applicable law, Axiomic and its members, managers, officers, employees, agents, affiliates, licensors, and suppliers (collectively, the “Axiomic Parties”) disclaim all warranties, express, implied, statutory, or otherwise, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, and any warranties arising out of course of dealing, usage, or trade. No advice or information, whether oral or written, obtained from the Site shall create any warranty not expressly stated in these Terms.

The Axiomic Parties do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that information on the Site will be accurate, reliable, complete, or current.

8.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AXIOMIC PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE AXIOMIC PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE AXIOMIC PARTIES’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, REGARDLESS OF THE NUMBER OF CLAIMS OR THE THEORY OF LIABILITY, SHALL NOT EXCEED ONE U.S. DOLLAR ($1.00). You acknowledge that the Site is provided at no charge, that you have received no services or goods in connection with the Site, that this cap reflects a reasonable allocation of risk, and that Axiomic would not make the Site available to you without this cap.

The foregoing limitations do not apply to liability that cannot be limited or excluded under applicable law, including, in jurisdictions where such exclusions are prohibited, liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or gross negligence.

9.Indemnification

You agree to indemnify, defend, and hold harmless the Axiomic Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit, transmit, or make available through any channel purporting to reach Axiomic. Axiomic reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification, in which case you will cooperate with Axiomic in asserting any available defenses.

10.Governing Law

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms, the Site, or their subject matter or formation, are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11.Binding Arbitration; Jury Trial Waiver; Class Action Waiver

Please read this section carefully. It affects your legal rights.

Binding Arbitration. Except as set forth below, any dispute, claim, or controversy arising out of or relating to these Terms or the Site (each, a “Dispute”) shall be resolved exclusively by final and binding arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures then in effect. The arbitration shall be conducted in Marin County, California by a single arbitrator, in the English language, and the arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Jury Trial Waiver. YOU AND AXIOMIC EACH IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE.

Class Action Waiver. YOU AND AXIOMIC EACH AGREE THAT ANY DISPUTE SHALL BE BROUGHT SOLELY IN YOUR OR AXIOMIC’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative proceeding. If a court decides that applicable law precludes enforcement of this paragraph as to a particular claim, that claim (and only that claim) shall be severed and proceed in the courts identified below.

Exceptions. Notwithstanding the foregoing, either party may: (a) bring an individual action in small-claims court; and (b) seek preliminary or permanent injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual-property rights. Any claim not subject to arbitration shall be brought exclusively in the state or federal courts located in Marin County, California, and the parties consent to the personal jurisdiction of, and exclusive venue in, those courts.

12.Assignment

Axiomic may freely assign, delegate, transfer, sublicense, or otherwise dispose of any or all of its rights and obligations under these Terms, in whole or in part, to any person or entity, at any time, for any reason or no reason, without notice to you and without your consent, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. You may not assign, delegate, or transfer any of your rights or obligations under these Terms, whether by operation of law or otherwise, without our prior written consent, and any attempted assignment or transfer in violation of this section shall be null and void. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their respective successors and permitted assigns.

13.Export Controls and Sanctions

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to comprehensive U.S. trade sanctions, and that you are not identified on any U.S. Government list of prohibited or restricted parties (including the U.S. Treasury Department’s Specially Designated Nationals list or the U.S. Commerce Department’s Denied Persons List). You agree to comply with all applicable export-control and sanctions laws in your use of the Site.

14.Eligibility

The Site is intended for a general audience aged 13 years and older. If you are under 18, you may use the Site only with the involvement of a parent or legal guardian. The Site is not directed at children under 13 and does not knowingly collect personal information from them.

15.Force Majeure

The Axiomic Parties shall not be liable for any failure or delay in performance resulting from causes beyond their reasonable control, including acts of God, natural disasters, fire, flood, earthquake, pandemic, war, terrorism, civil unrest, governmental action, labor disputes, internet or utility outages, denial-of-service attacks, or failures of hosting or telecommunications providers.

16.Changes to These Terms

We may update these Terms from time to time. The “Effective” date above reflects the date of the most recent update. For material changes, we will use reasonable efforts to provide notice through the Site. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to stop using the Site.

17.Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Axiomic with respect to the Site and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed, and the remaining provisions shall remain in full force and effect.

No Waiver. No failure or delay by Axiomic in exercising any right, power, or privilege shall operate as a waiver, nor shall any single or partial exercise preclude any other or further exercise.

No Third-Party Beneficiaries. Except for the Axiomic Parties, there are no third-party beneficiaries to these Terms.

Headings. Section headings are provided for convenience only and do not affect the interpretation of these Terms.

Relationship. No agency, partnership, joint venture, or employment relationship is created between you and Axiomic by these Terms or your use of the Site.

Electronic Communications. You consent to receive communications from us in electronic form, and you agree that all notices, agreements, and disclosures that we provide electronically satisfy any legal requirement that such communications be in writing.
